Opening a company in Armenia is a relatively fast and simple process, especially if you know the steps involved in advance. Below is a general guide based on current regulations.
1. Choose and check the company name
The company name must be in Armenian and include the legal form (e.g. "LLC"). It cannot match the name of an already registered company. Note that using the words "Armenia" or "Armenian" in the name requires a special permit and payment of an annual state fee.
2. Legal address and Articles of Association
You'll need to determine the company's legal address and draft its Articles of Association. Multiple companies can share the same legal address, and renting a dedicated office for this purpose isn't mandatory.
3. Online registration
Registration is done through the Ministry of Justice's e-register.am portal. With an electronic signature, the entire process can be completed online, without visiting an office in person. By law, the registry must process the application within 2 working days; in practice it typically takes about 2-3 business days.
4. After registration
Along with registration, the company is automatically assigned a taxpayer identification number (TIN). Next steps include registering in the State Revenue Committee's electronic system, choosing a tax regime (within 20 days of registration, otherwise the general system applies automatically), and setting up accounting from day one.
